Kamila McCarthy

Partner, Clark Hill
Kamila was born in Kazakhstan and moved to Ireland in 2000. She completed her secondary education in Ireland and continued with her third level studies in the National University of Ireland in Maynooth by graduating with a Bachelor of Arts Double Honours Degree. Whilst she always had an interest in Law, her journey in Law officially commenced in 2009 when she embarked on a Postgraduate Diploma in Law in the Technological University Dublin. Following this, she passed her Law Society entrance exams, and was admitted to the Roll of Solicitors in 2016.

Kamila completed her training with a sole practitioner which exposed her to work in many areas of Law including litigation, commercial and corporate practice for approximately 5 years. During that time, she developed a keen interest in corporate and commercial practice. Following her training, she moved to a bigger firm with a view to specialising in those areas of practice and developed a particular skill set in those areas over the years. Over time, she concentrated mainly on developing her corporate and commercial experience, which is her current area of practice. She has also developed a particular skill set in the drafting aspect of the commercial and corporate transactions and contracts.

In 2021, she completed a Certificate in Corporate Secretarial Law and Practice and in 2022, a Diploma in Corporate Law and Governance with the Law Society. In 2023, she was appointed as a partner in her current firm of Clark Hill PLC.

Ireland—Deed of variation
Precedents

This Precedent is a deed of variation (or variation deed or deed of amendment) between two parties, used to document changes to an existing commercial agreement between the same parties. The use of a deed, as opposed to a simple contract, generally avoids questions over whether each party has given sufficient consideration for varying the rights or obligations under the original contract. Optional drafting is provided for confirmation and consent to the variation, which may be required from a third-party guarantor.

Ireland—Confidentiality agreement—mutual

This Precedent mutual confidentiality agreement (also known as a non-disclosure agreement or NDA) assumes that there will be a mutual flow of confidential information shared between the parties. Each party is therefore given broad protection in relation to their disclosures of confidential information. It is assumed that neither of the parties to the confidentiality agreement is a listed company.

Ireland—Deed of assignment
Ireland—Deed of assignment

This Precedent is a deed of assignment to be used when transferring the rights and benefits of a commercial contract from one of the original contracting parties (assignor) to a third party (assignee). The underlying contract is retained. This Precedent assumes that the underlying contract contains no prohibition on assignment and therefore the consent of the other party to the underlying contract is not required.
