Robert Scheininger
Robert is a partner in Reed Smith’s Financial Industry Group. He represents investment banks, broker-dealers, hedge and private equity funds and other financial institutions on various corporate transactions, including private equity investments, stock and asset transfers, mergers and acquisitions and other business combinations. Robert has a particular focus on secondary market trading and special situation investing representing both buyers and sellers on a diverse range of transactions involving syndicated loans, bankruptcy claims, offshore and onshore liquidation claims, litigation funding transactions, private debt and equity securities and other distressed and illiquid assets in the U.S. and in foreign jurisdictions.
Robert advises clients on all aspects of the distressed and special situation investment process and the purchase and sale of the related assets. His work includes analyzing credit and governing documents, providing structuring advice, drafting and negotiating transfer documentation and navigating complex closing mechanics. He deals extensively with secondary market transfer documentation, including assignments and participations of bank loans using forms produced by the Loan Syndications and Trading Association (LSTA) and the Loan Market Association (LMA) as well as bespoke documentation tailored to unique transactions. He also has substantial experience structuring and negotiating loan and bankruptcy claim portfolio transactions and secondary market litigation funding transactions.
Robert is a member of the LSTA and an active participant in the LSTA Trade Practices and Forms Committee and is a frequent presenter on issues involving the secondary market.
