I am a corporate tax lawyer and an associate in the Bird & Bird international Corporate Group, with experience in corporate, employment and finance taxation and employee incentive arrangements.
I advise on a range of corporate taxation matters with a particular emphasis on the taxation aspects of mergers and acquisitions, re-organisations and reconstructions, joint venture, private equity and finance transactions, as well as advising on the Stamp Duty Land Tax and VAT implications of property transactions. I have experience of structuring investments and acquisitions across different jurisdictions, covering a wide variety of industry sectors, with a focus on the retail and consumer, technology and communications, finance and media arenas.
Additionally, I assist clients in resolving employment tax issues they may face such as the taxation of termination payments, the tax position of internationally mobile employees and the implications of off-payroll working through an intermediary. I also advise companies in connection with employee equity participation arrangements, including advising on and drafting HM Revenue & Customs tax advantaged share option schemes, unapproved option schemes, long term incentive plans, and direct issue of shares to employees and directors.
My practice further encompasses advising clients on structuring and implementing tax efficient investments, re-organisations and exits in compliance with the enterprise investment scheme (EIS) and venture capital trusts (VCT) regimes.
I provide this corporate and international tax advice to large multinationals, medium-sized companies, private equity and venture fund-backed private companies, investors, management teams and entrepreneurs.
