Company records, registers and filing

After its incorporation, there are a wide variety of obligations that a company must observe on an ongoing basis as it carries out its day-to-day business.

Some of those obligations are triggered as a result of changes to the company's particulars, including:

the appointment, retirement, resignation or removal of the company's officers
•
changes in the registered details of the company's officers
•
transfers and issues of shares resulting in changes to the company's membership
•
changes to the company's name
•
changes to the company's constitution
•
granting charges over the company's assets

Other obligations are ongoing (rather than being triggered by a change of some sort) and relate to transparency and record keeping. Such obligations include the requirements for companies:

Corporate weekly highlights—13 March 2025

This week's edition of Corporate weekly highlights includes: Companies House confirmation of the launch date for its service for registering authorised corporate service providers, the Parker Review’s 2025 update report on ethnic diversity across boards and senior management of FTSE 350 companies and large private companies, DBT updated guidance on payment practices and performance, publication of the draft Companies (Directors’ Remuneration and Audit) (Amendment) Regulations 2025, Companies House and HMRC announcing future closure of the joint filing service for company accounts and tax returns and the FCA’s latest quarterly consultation with minor amendments proposed to the related party transaction provisions for closed-ended investment funds.

Companies House announces launch for authorised agent registration service

Companies House has announced that its service for registering authorised corporate service providers (ACSPs) will launch on 18 March 2025, following a brief delay. The service forms part of the Economic Crime and Corporate Transparency Act (2023) implementation plan and will enable trust and company service providers and other professional service providers registered for anti money laundering supervision in the UK to become ACSPs. These providers will then be authorised to conduct verification services for their clients and submit verification details to the registrars.

Parker Review Committee publishes 2025 report on ethnic diversity in UK businesses

The Parker Review Committee has published its 2025 report on improving ethnic diversity in UK businesses. By December 2024, 95 out of 100 FTSE 100 companies had met the Committee's target of having at least one ethnic minority director on their boards. FTSE 250 companies were given until 31 December 2024 to meet this target, and the report reveals that 204 out of 236 companies now have at least one ethnic minority director, representing a 17% increase from 2023. As of December 2024, ethnic minority executives make up between 9% and 11% of the total number of UK-based senior managers across FTSE 100, FTSE 250, and in-scope private companies, with an average target of 13% to 15% set for 2027.

FCA publishes Quarterly Consultation Paper No. 47

The Financial Conduct Authority (FCA) has published CP25/4: Quarterly Consultation Paper No. 47, setting out proposals to make minor changes to the TC qualifications table, BCOBS 4.3.4R(2) (Information to be provided by a non-ring-fenced body to individual account holders), COMP 7.2.3AAR (Financial Services Compensation Scheme’s electronic assignments), UKLR 11.5.5R (relevant related party transactions) and DISP (Complaints). Responses are sought by 14 April 2025 (and by 5 May 2025 with regards to the proposed changes to DISP).
