Role of the remuneration committee

It is a main principle of the UK Corporate Governance Code (the Code) that remuneration policies and strategies should be designed to support strategy and promote long-term sustainable success. Executive remuneration should be aligned to company purpose and values, and be clearly linked to the successful delivery of the company’s long-term strategy. Listed companies are expected to establish a separate remuneration committee of the board to ensure compliance with this main principle.

The Code requires the remuneration committee to have delegated responsibility for determining the policy for executive director remuneration and setting remuneration for the chair, executive directors and senior management. It should also review workforce remuneration
